Refund & Cancellation Policy

Effective date: August 15, 2026

This Refund & Cancellation Policy applies to paid HelmPilot subscriptions provided by Algorail AI, LLC (“Algorail,” “we,” “us,” or “our”).

This Policy supplements the applicable Terms of Service and any Order, invoice, purchase order, or other written purchasing agreement covering HelmPilot.

If a separate written agreement with a Customer contains different refund, cancellation, or renewal terms, that agreement controls.

1. Guided Evaluation

HelmPilot’s guided evaluation is intended to give prospective Customers an opportunity to determine whether the service fits their project before purchasing.

Unless otherwise agreed in writing:

  • the guided evaluation lasts 14 days;
  • there is no obligation to purchase at the end of the evaluation; and
  • a Customer may decide not to proceed with a paid subscription without charge.

A Customer that decides to purchase may continue through its institution’s purchasing or procurement process as described in the Terms of Service.

2. Paid Subscriptions

Unless an Order states otherwise:

  • HelmPilot subscriptions are purchased for a one-year term;
  • payment is due annually in advance;
  • subscriptions do not automatically renew; and
  • paid subscriptions are non-refundable once the paid subscription term begins.

If an Order does not specify a paid-term start date, the paid term begins when Algorail confirms activation of the paid subscription following cleared payment.

Choosing not to use HelmPilot, using it less than expected, or ending use before the paid-through date does not by itself create a right to a refund.

3. When Algorail Will Provide a Refund

Algorail will provide a refund when:

  • applicable law requires one;
  • Algorail receives a duplicate or clearly erroneous payment;
  • Algorail receives cleared payment but is unable to activate the purchased subscription; or
  • Algorail terminates a paid subscription without cause before the end of its paid term.

If Algorail terminates a paid subscription without cause after the paid term has begun, the refund will normally be prorated based on the unused portion of the prepaid term.

Nothing in this Policy prevents Algorail from providing a refund or credit in another situation when Algorail determines that doing so is appropriate. A discretionary refund in one situation does not create an obligation to provide the same refund in another.

4. Cancellation During a Paid Term

A Customer may ask Algorail to stop or close its HelmPilot service before the end of a paid term.

Unless otherwise agreed in writing, early cancellation:

  • does not create a refund for the unused portion of the current paid term; and
  • does not create any future renewal obligation.

If the Customer does not request earlier closure, access may remain available through the applicable paid-through date subject to the Terms of Service.

5. Renewal

HelmPilot subscriptions do not automatically renew unless a future written Order expressly provides otherwise.

Renewal requires a new purchasing action, such as:

  • payment of a renewal invoice;
  • an approved purchase order;
  • written purchasing approval;
  • secure online payment; or
  • another method agreed by Algorail.

If a subscription is not renewed, the workspace will follow the expiration, grace-period, read-only, and data-deletion provisions described in the Terms of Service and Privacy Policy.

6. Failed, Returned, Reversed, or Disputed Payments

A payment is not considered completed merely because it has been initiated or authorized.

If a card payment, ACH payment, bank transfer, or other payment fails, is reversed, is returned, or does not clear, Algorail may delay paid-subscription activation or treat the applicable fees as unpaid.

If a payment that previously cleared is later disputed, reversed, or charged back, Algorail may suspend paid access while the matter is under review and may treat the disputed amount as unpaid unless and until the payment is restored or the dispute is resolved in Algorail’s favor.

Nothing in this section limits rights available to either party under applicable law or through the applicable payment provider.

7. Refund Method and Processing

Approved refunds will generally be returned through the original payment method when reasonably practical.

The time required for a refund to appear in the recipient’s account may depend on the bank, card issuer, payment processor, or other financial institution involved.

Algorail does not control processing delays imposed by those third parties.

8. Taxes

When a transaction is refunded, Algorail will handle any associated sales or transaction tax adjustment as required by applicable law and the capabilities of the applicable payment or tax-processing system.

Tax-exempt Customers should provide appropriate exemption documentation before invoicing or payment whenever reasonably possible.

9. Customer Content After Cancellation or Expiration

Cancellation or expiration does not mean that Customer Content is immediately and permanently deleted.

Customer Content is handled according to the retention, grace-period, read-only, backup, and deletion provisions described in the Terms of Service and Privacy Policy.

Customers should retrieve any information they wish to retain before the applicable access and retention periods expire.

10. Changes to This Policy

Algorail may update this Policy as its services, payment methods, or business practices evolve.

A material change will not retroactively reduce refund rights already established under an existing paid Order.

The effective date at the top of this Policy identifies the current version.
